Goodmorning Terms of Service

Effective Date: 1 August 2025

Welcome to Goodmorning — a wellness platform offering personalized mindfulness experiences, like a one minute stress release exercise, in one-minute practices. These Terms of Service ("Terms") govern your access to and use of our mobile applications, websites, and any associated content or services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the Services.

1. Acknowledgement of Parties and Responsibilities

You acknowledge and agree that:

  • This End User License Agreement ("EULA") is concluded between you and Goodmorning Expeditions only, and NOT with Apple, Inc. ("Apple")

  • Goodmorning Expeditions, not Apple, is solely responsible for the Goodmorning application and its content

  • These Terms may not provide for usage rules that conflict with the Apple Media Services Terms and Conditions

  • Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Goodmorning application

2. Eligibility

You must be at least 16 years old to use the Services. If you are under the legal age of majority in your country, a parent or legal guardian must agree to these Terms on your behalf.

3. Scope of License

Goodmorning grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Services may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

You may not:

  • Transfer, redistribute, or sublicense the Services

  • Make the Services available over a network where it could be used by multiple devices simultaneously

  • Copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Services

  • Remove the Services from any Apple device before transferring the device to a third party

  • Use the Services for unlawful purposes or in violation of any applicable regulations

4. Account Registration

To access certain features, you may need to create a Goodmorning account. You are responsible for providing accurate information and for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@goodmorning.me if you suspect unauthorized access to your account.

5. Subscriptions and Payments

Goodmorning offers free and premium subscription tiers ("Goodmorning Premium").

  • Recurring Billing: If you purchase a subscription, your payment method will be automatically charged at the beginning of each subscription period until you cancel

  • Cancellation: You may cancel at least 24 hours before renewal to avoid being charged. Cancellation processes vary by platform (e.g., Apple App Store or Google Play)

  • Free Trials and Promotional Offers: Any promotional offer converts automatically to a recurring subscription unless canceled during the trial period

  • Lifetime Subscriptions: If available, a "lifetime" subscription grants access for the product lifetime of Goodmorning Premium, not your personal lifetime

Right of Withdrawal (EEA only)

If you are a resident of the EEA, you have the right to withdraw from a subscription purchase within 14 days. However, if you begin using the Services during that period, the withdrawal right is waived unless the product is defective.

6. Maintenance, Support, and Warranty

Our Responsibilities

  • Goodmorning Expeditions is solely responsible for providing any maintenance and support services for the application

  • We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed

  • Any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are our sole responsibility

Apple Warranty Process

In the event of any failure of the Services to conform to any applicable warranty:

  • You may notify Apple, and Apple will refund the purchase price for the application

  • To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Services

Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.

7. Product Claims and Liability

You acknowledge that Goodmorning Expeditions, NOT Apple, is responsible for addressing any claims by you or any third party relating to the Services, including but not limited to:

  • Product liability claims

  • Any claim that the Services fail to conform to any applicable legal or regulatory requirement

  • Claims arising under consumer protection, privacy, or similar legislation

  • Claims regarding the use of HealthKit, HomeKit frameworks, or similar Apple frameworks

8. Intellectual Property Rights

Our IP

All content and technology in the Services is owned by Goodmorning or its licensors. You may not copy, modify, or redistribute any part of the Services without written permission.

IP Infringement Claims

In the event of any third-party claim that the Services or your possession and use of the Services infringes that third party's intellectual property rights, Goodmorning Expeditions, NOT Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

9. User Content

You retain rights to any content you post or upload, but you grant Goodmorning a global, non-exclusive, royalty-free license to use, modify, and display that content as part of our Services and marketing, subject to applicable laws.

10. Data Collection and Privacy

You agree that we may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals—that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Services. We may use this information, as long as it is in a form that does not personally identify you, to improve our products or to provide services or technologies to you.

11. Medical Disclaimer

The Services are NOT a substitute for professional medical advice or treatment. You acknowledge that:

  • Goodmorning is not a licensed medical provider

  • Use of the app is at your own risk

  • You should consult a medical professional for health concerns

  • The Services should not be used while driving or performing tasks requiring focus

12. Export Control and Legal Compliance

Your Representations and Warranties

You represent and warrant that:

  • You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country

  • You are not listed on any U.S. Government list of prohibited or restricted parties

  • You will not export or re-export the Services to prohibited countries or entities

  • You will not use the Services for any purposes prohibited by United States law, including the development, design, manufacture, or production of nuclear, missiles, or chemical or biological weapons

13. Third-Party Services and Terms

External Services

Our Services may include links or integrations with third-party content. Goodmorning is not responsible for the accuracy or practices of third-party sites or services.

Third-Party Terms Compliance

You must comply with applicable third-party terms of agreement when using our Services (e.g., if you use the Services over cellular data, you must not violate your wireless data service agreement).

14. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL GOODMORNING BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall our total liability to you for all damages exceed the amount of fifty dollars ($50.00) or the amount you paid for the Services in the twelve months preceding the claim, whichever is greater.

15. Termination

  • We may suspend or terminate your access if you violate these Terms or engage in conduct that may cause harm

  • You may delete your account at any time, but subscription fees are non-refundable

  • These Terms are effective until terminated by you or us

  • Your rights under these Terms will terminate automatically if you fail to comply with any of its terms

16. Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of your country of residence, excluding conflict of law provisions. For EEA residents, the European Commission's Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr/.

If you are a citizen of any European Union country, Switzerland, Norway, or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence.

18. U.S. Government End Users

The Services and related documentation are "Commercial Items" as defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." They are licensed to U.S. Government end users only as Commercial Items with only those rights granted to all other end users pursuant to these Terms.

19. Changes to These Terms

We may update these Terms for legal, regulatory, or operational reasons. We will notify you of material changes in advance. Your continued use of the Services after changes become effective constitutes acceptance.

  • You will not export or re-export the Services to prohibited countries or entities

  • You will not use the Services for any purposes prohibited by United States law, including the development, design, manufacture, or production of nuclear, missiles, or chemical or biological weapons

Third-Party Terms Compliance

You must comply with applicable third-party terms of agreement when using our Services (e.g., if you use the Services over cellular data, you must not violate your wireless data service agreement).

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL GOODMORNING BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall our total liability to you for all damages exceed the amount of fifty dollars ($50.00) or the amount you paid for the Services in the twelve months preceding the claim, whichever is greater.

  • You may delete your account at any time, but subscription fees are non-refundable

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

These Terms are governed by the laws of your country of residence, excluding conflict of law provisions. For EEA residents, the European Commission's Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr/.

If you are a citizen of any European Union country, Switzerland, Norway, or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence.

The Services and related documentation are "Commercial Items" as defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." They are licensed to U.S. Government end users only as Commercial Items with only those rights granted to all other end users pursuant to these Terms.

We may update these Terms for legal, regulatory, or operational reasons. We will notify you of material changes in advance. Your continued use of the Services after changes become effective constitutes acceptance.

Goodmorning Terms of Service

Welcome to Goodmorning — a wellness platform offering personalized mindfulness experiences, like a one minute stress release exercise, in one-minute practices. These Terms of Service ("Terms") govern your access to and use of our mobile applications, websites, and any associated content or services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the Services.

1. Acknowledgement of Parties and Responsibilities

You acknowledge and agree that:

  • This End User License Agreement ("EULA") is concluded between you and Goodmorning Expeditions only, and NOT with Apple, Inc. ("Apple")

  • Goodmorning Expeditions, not Apple, is solely responsible for the Goodmorning application and its content

  • These Terms may not provide for usage rules that conflict with the Apple Media Services Terms and Conditions

  • Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Goodmorning application

2. Eligibility

You must be at least 16 years old to use the Services. If you are under the legal age of majority in your country, a parent or legal guardian must agree to these Terms on your behalf.

3. Scope of License

Goodmorning grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Services may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

You may not:

  • Transfer, redistribute, or sublicense the Services

  • Make the Services available over a network where it could be used by multiple devices simultaneously

  • Copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Services

  • Remove the Services from any Apple device before transferring the device to a third party

  • Use the Services for unlawful purposes or in violation of any applicable regulations

4. Account Registration

To access certain features, you may need to create a Goodmorning account. You are responsible for providing accurate information and for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@goodmorning.me if you suspect unauthorized access to your account.

5. Subscriptions and Payments

Goodmorning offers free and premium subscription tiers ("Goodmorning Premium").

  • Recurring Billing: If you purchase a subscription, your payment method will be automatically charged at the beginning of each subscription period until you cancel

  • Cancellation: You may cancel at least 24 hours before renewal to avoid being charged. Cancellation processes vary by platform (e.g., Apple App Store or Google Play)

  • Free Trials and Promotional Offers: Any promotional offer converts automatically to a recurring subscription unless canceled during the trial period

  • Lifetime Subscriptions: If available, a "lifetime" subscription grants access for the product lifetime of Goodmorning Premium, not your personal lifetime

Right of Withdrawal (EEA only)

If you are a resident of the EEA, you have the right to withdraw from a subscription purchase within 14 days. However, if you begin using the Services during that period, the withdrawal right is waived unless the product is defective.

6. Maintenance, Support, and Warranty

Our Responsibilities

  • Goodmorning Expeditions is solely responsible for providing any maintenance and support services for the application

  • We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed

  • Any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are our sole responsibility

Apple Warranty Process

In the event of any failure of the Services to conform to any applicable warranty:

  • You may notify Apple, and Apple will refund the purchase price for the application

  • To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Services

Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.

7. Product Claims and Liability

You acknowledge that Goodmorning Expeditions, NOT Apple, is responsible for addressing any claims by you or any third party relating to the Services, including but not limited to:

  • Product liability claims

  • Any claim that the Services fail to conform to any applicable legal or regulatory requirement

  • Claims arising under consumer protection, privacy, or similar legislation

  • Claims regarding the use of HealthKit, HomeKit frameworks, or similar Apple frameworks

8. Intellectual Property Rights

Our IP

All content and technology in the Services is owned by Goodmorning or its licensors. You may not copy, modify, or redistribute any part of the Services without written permission.

IP Infringement Claims

In the event of any third-party claim that the Services or your possession and use of the Services infringes that third party's intellectual property rights, Goodmorning Expeditions, NOT Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

9. User Content

You retain rights to any content you post or upload, but you grant Goodmorning a global, non-exclusive, royalty-free license to use, modify, and display that content as part of our Services and marketing, subject to applicable laws.

10. Data Collection and Privacy

You agree that we may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals—that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Services. We may use this information, as long as it is in a form that does not personally identify you, to improve our products or to provide services or technologies to you.
